1. Acceptance of Terms
Welcome to PostHours. These Terms and Conditions ("Terms") govern your access to and use of our website and AI-powered lead capture services. By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.
2. Description of Services
PostHours provides AI-powered lead capture and response services for multi-location service businesses. Our services include:
- Dedicated phone numbers for each of your business locations
- Automated SMS responses to missed calls within 60 seconds
- Lead qualification through customized questions
- Automated appointment booking integration
- Multi-channel lead capture (calls, forms, DMs, Google messages, website chat)
- Weekly performance reports and analytics
- Monthly strategy calls
- Ongoing system monitoring and maintenance
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to active clients.
3. Account Registration and Eligibility
To use our services, you must:
- Be at least 18 years of age or the age of legal majority in your jurisdiction
- Have the authority to bind your business to these Terms
- Provide accurate and complete information during registration
- Maintain the security of your account credentials
- Promptly update any changes to your account information
You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Payment Terms
Fees
Our services require a one-time setup fee and ongoing monthly subscription fees. Specific pricing will be provided during the sales process and confirmed in your service agreement.
Billing
Monthly subscription fees are billed in advance on a recurring basis. By providing payment information, you authorize us to charge your designated payment method for all fees due.
Late Payments
If payment is not received by the due date, we reserve the right to suspend your services until payment is made. Continued non-payment may result in termination of your account.
Price Changes
We reserve the right to modify our pricing with 30 days' notice. Price changes will not affect the current billing period.
5. Service Guarantee
We guarantee that our system will capture and respond to at least 90% of your missed calls within 60 seconds during the first 30 days of service. If we fail to meet this standard, you are entitled to a refund of your setup fee. This guarantee is subject to proper system configuration and your timely provision of required business information. The guarantee does not apply if service disruptions are caused by factors outside our control, including but not limited to telecommunications carrier outages or force majeure events.
6. Client Responsibilities
As a client, you agree to:
- Provide accurate business information for system configuration
- Review and approve SMS response templates before deployment
- Ensure your use of our services complies with all applicable laws and regulations
- Not use our services to send spam, misleading content, or illegal communications
- Maintain appropriate consents from your customers for SMS communications
- Respond to qualified leads in a timely manner
- Notify us promptly of any issues or changes to your business operations
7. Intellectual Property
All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, software, and underlying technology, are owned by PostHours or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without our express written consent.
You retain ownership of your business content, including your brand assets and customer data. By using our services, you grant us a limited license to use your business information solely to provide the services described herein.
8. Confidentiality
We understand that you entrust us with sensitive business information. We commit to maintaining the confidentiality of your business data, customer information, and any proprietary information shared with us. We will not disclose your confidential information to third parties except as necessary to provide our services or as required by law.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POSTHOURS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
10. Disclaimer of Warranties
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Termination
Either party may terminate the service agreement with 30 days' written notice. We may terminate or suspend your access to our services immediately if:
- You breach any provision of these Terms
- You fail to pay fees when due
- Your use of our services violates applicable laws
- Continuing to provide services would expose us to legal liability
Upon termination, your right to use our services will cease immediately. We will provide reasonable assistance in transitioning your phone numbers and data, subject to payment of any outstanding fees.
12. Indemnification
You agree to indemnify and hold harmless PostHours, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our services shall be resolved in the state or federal courts located in Delaware.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after any changes constitutes acceptance of the new Terms.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and PostHours regarding your use of our services and supersede all prior agreements and understandings.
